Paid Accounts: For paid plans, additional billing information, including billing address and payment details, must be provided.
Account Security
Responsibility: Users are solely responsible for maintaining the confidentiality of their login credentials.
Notification: Users must promptly notify us of any unauthorized use of their account or any other breach of security.
Accuracy of Information
User Obligation: Users agree to provide accurate and up-to-date information and to update such information as necessary.
Verification: We reserve the right to verify user information and suspend accounts if discrepancies are found.
4. User Content and Intellectual Property
User-Uploaded Content
Ownership: Users retain all rights and ownership to their uploaded content (“User Content”). Formatic does not claim any ownership over User Content.
Storage: User Content is stored securely on AWS servers.
Sharing: Users have complete discretion to share their User Content with others. Formatic does not control or influence how content is shared or distributed.
Intellectual Property Rights
User Representation: Users represent and warrant that they have the necessary rights to upload, store, and share any User Content submitted.
No Liability: Formatic is not liable for any User Content uploaded by users. Users agree to indemnify and hold Formatic harmless from any claims arising from their User Content.
5. Prohibited Uses
Users agree not to use Formatic to:
Illegal Activities: Upload, post, or transmit any content that is unlawful, harmful, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
Violation of Laws: Violate any applicable local, national, or international laws or regulations.
Intellectual Property Infringement: Infringe upon or violate the rights of Formatic or others, including intellectual property rights.
Disruptive Conduct: Engage in any conduct that disrupts or impedes the Services’ normal operations (e.g., distributing viruses, spamming, hacking).
Data Collection: Collect personal data about other users without their explicit consent.
Formatic reserves the right to take necessary actions, including termination of accounts, against users who engage in prohibited activities.
6. Payment Terms (For Paid Plans)
Subscription Fees
Payment Obligation: Users subscribing to paid plans agree to pay all applicable subscription fees.
Billing Cycle: Fees may be billed on a monthly or annual basis, as selected by the user.
Payment Methods: Payments are processed through third-party payment processors (e.g., Stripe, PayPal).
Billing and Renewal
Automatic Renewal: Subscriptions may automatically renew at the end of each billing cycle unless canceled prior to renewal.
Authorization: Users authorize Formatic to charge the provided payment method for subscription fees and any applicable taxes.
Refunds and Cancellations
Refund Policy: Refunds are provided at Formatic’s sole discretion and are not guaranteed.
Cancellation Process: Users may cancel their subscription at any time; cancellations take effect at the end of the current billing cycle.
No Refund for Early Termination: No refunds will be provided for early termination of subscriptions.

Privacy Policy: We maintain a separate Privacy Policy detailing how we collect, store, and process personal data, including compliance with GDPR.
Data Handling: Personal data is stored primarily on AWS servers and may be transferred to other jurisdictions as necessary.

8. Disclaimer of Warranties
“As Is” and “As Available”
Service Provision: Formatic and all related Services are provided on an “as is” and “as available” basis.
No Guarantee: We do not guarantee that the Services will be uninterrupted, error-free, or completely secure.
No Liability for Downtime
Efforts to Maintain Service: While we strive to minimize downtime and restore Services promptly, Formatic cannot guarantee continuous availability.
Limitation: We are not responsible for any loss or damage resulting from Service downtime or data unavailability.
No Warranty
Scope of Disclaimers: To the maximum extent permitted by law, Formatic disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
Exclusion of Damages: In no event shall Formatic, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or related to your use of the Services.
Cap on Liability: Our total liability for any claim related to the Services shall not exceed the amount paid by you for the Services in the twelve (12) months preceding the claim, or £100 if no paid subscription is involved.
Essential Risk Allocation: Users acknowledge and agree that they use Formatic at their own risk, and that the limitations above are fundamental elements of the basis of the bargain between Formatic and users.
10. Termination of Accounts
Termination by You
Account Deletion: Users may delete their account or cease using Formatic at any time.
Data Deletion: Upon termination, user data may be deleted from our servers unless required by law or necessary for legitimate business purposes.
Termination by Us
Right to Terminate: Formatic reserves the right to suspend or terminate user accounts at our sole discretion if users violate these Terms or engage in any conduct deemed harmful or unlawful.
Service Discontinuation: We may terminate or suspend the Services entirely without prior notice if we decide to discontinue the Services.
11. Governing Law and Dispute Resolution
Governing Law: These Terms shall be governed by and construed in accordance with the laws of England and Wales.
Jurisdiction: Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in England, unless an alternative dispute resolution is mutually agreed upon.
Dispute Resolution Process: Users agree to attempt to resolve disputes informally before pursuing formal legal action.

Scope of Indemnity: This indemnification obligation includes, without limitation, legal fees and costs incurred in defending any such claims.
14. Severability
Clause Independence: If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
Modification of Clauses: The invalid or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable.

Comprehensive Terms: These Terms constitute the entire agreement between you and Formatic regarding the use of the Services and supersede all prior or contemporaneous understandings, agreements, or communications, whether written or oral.
